These Terms and Conditions apply to your use of our website and to any purchase of products or services from us. Please read them carefully before placing an order.

By using our website or placing an order, you agree to be bound by these Terms and Conditions.

Where services are supplied by Osprey Solent Group Ltd separately, those services may be subject to separate written terms of engagement.

In these Terms, “we”, “us” and “our” mean Osprey Solent Group Ltd trading as ProtectDepot UK. “You” and “your” mean the customer, website user or purchaser.

2. Who these Terms apply to

These Terms apply to:

  • consumers purchasing for personal use;
  • businesses, organisations, landlords, contractors, consultants, employers or other commercial customers purchasing for business use;
  • users browsing or using our website.

Certain rights apply only to consumers. Where a clause applies differently to business customers, this is made clear.

3. Use of our website

You may use our website for lawful purposes only.

You must not:

  • misuse the website;
  • attempt to gain unauthorised access to the website, server, data or systems;
  • introduce viruses, malware or harmful material;
  • copy, reproduce or exploit website content without our permission;
  • use the website to make fraudulent purchases or enquiries;
  • interfere with the website’s operation, security or availability.

We may suspend, restrict or terminate access to the website where we reasonably believe these Terms have been breached.

4. Product information

We aim to ensure that product descriptions, images, prices, specifications and availability are accurate. However, minor differences may occur.

Product images are usually for illustrative purposes only. Colours, packaging, dimensions, branding or appearance may vary from the images shown.

You are responsible for checking that any product is suitable for your intended use before purchasing. This is particularly important where products relate to safety, fire safety, workplace compliance, PPE, signage, first aid, maintenance, facilities management or other regulated or safety-critical uses.

Where a product is required to meet a particular standard, certification, compatibility requirement or specification, you should check the product description carefully and contact us before ordering if unsure.

We are not responsible for your incorrect selection, installation, use, storage, maintenance or inspection of products.

5. Product standards and compliance

Where applicable, products may be supplied with manufacturer instructions, safety information, certification, declarations of conformity or product data.

You are responsible for ensuring that products are:

  • suitable for the intended environment;
  • installed, used, maintained and inspected correctly;
  • used in accordance with manufacturer instructions;
  • compliant with any legal, insurance, workplace, fire safety or industry requirements that apply to your premises or activities.

Unless expressly agreed in writing, we do not provide legal, technical, fire safety, health and safety, engineering or compliance advice through product listings or general website content.

Where you require professional advice, you should obtain it before purchasing or using a product.

6. Orders

When you place an order, you are making an offer to purchase the goods or services in your basket.

An order is not accepted by us until we issue an order confirmation or dispatch the goods, whichever occurs first.

We may refuse, cancel or limit an order where:

  • the product is unavailable;
  • there is an error in price, description or availability;
  • payment is declined or reversed;
  • we suspect fraud, misuse or unauthorised activity;
  • delivery cannot reasonably be made to the address provided;
  • the order appears unsuitable, unsafe, unlawful or inappropriate;
  • we are unable to fulfil the order for any other reasonable commercial reason.

If we cancel an order after payment has been taken, we will refund any amount paid for the cancelled item.

7. Business customers

If you purchase as a business customer, you confirm that:

  • you have authority to bind the business or organisation;
  • the purchase is made wholly or mainly for business purposes;
  • you are responsible for ensuring the goods are suitable for your intended business use;
  • you will not rely on consumer cancellation rights unless they legally apply.

Business customers do not have the same statutory cancellation rights as consumers. Returns by business customers are accepted at our discretion unless the goods are faulty, not as described, or we have expressly agreed otherwise in writing.

8. Prices

Prices are shown in pounds sterling.

Unless stated otherwise, prices are shown inclusive of VAT where VAT applies. Where prices are shown exclusive of VAT for business customers, this will be made clear before you place an order.

Delivery charges, handling charges or any other applicable charges will be shown before you complete your order.

We may change prices at any time. Price changes will not affect orders already accepted, except where there has been an obvious pricing error.

If a product has been incorrectly priced, we may cancel the order and refund you, even if the order has been acknowledged.

9. Payment

Payment must be made using the payment methods available at checkout.

We may use third-party payment processors. We do not usually store full payment card details on our own systems.

Your order may not be processed until payment has been authorised.

If payment is later reversed, declined, charged back or found to be unauthorised, we may cancel the order, recover the goods, suspend further supply and seek recovery of any sums owed.

10. Availability

All products are subject to availability.

Stock levels displayed on the website may be approximate and may change.

We are not liable for business losses, loss of profit, project delays or other indirect losses arising from stock shortages, supplier delays or discontinued products. This does not affect any refund due where we cannot fulfil your order.

Where an item is unavailable, we may offer:

  • a refund;
  • a delayed delivery;
  • a suitable alternative;
  • partial fulfilment of the order.

You are not required to accept an alternative product unless you choose to do so.

11. Delivery

We will deliver to the address you provide at checkout.

You are responsible for ensuring that delivery details are accurate and complete.

Estimated delivery times are provided as estimates only and are not guaranteed unless we expressly state otherwise in writing.

We are not responsible for delays caused by:

  • courier or postal delays;
  • supplier delays;
  • incorrect or incomplete delivery information;
  • failed delivery attempts;
  • customs, import or border delays;
  • weather, strikes, disruption or events outside our reasonable control.

For consumer orders, this does not affect any legal rights you may have where goods are not delivered within the agreed timeframe or within the default timeframe required by law.

If delivery fails because you provided incorrect details or failed to accept delivery, we may charge additional delivery, storage or return costs.

12. Delivery restrictions

Some products may be subject to delivery restrictions due to size, weight, hazard classification, location, carrier limitations, manufacturer restrictions or legal requirements.

We may decline to deliver certain products to certain locations.

Additional delivery charges may apply for remote areas, offshore locations, Northern Ireland, the Channel Islands, the Isle of Man, the Scottish Highlands and Islands, or international deliveries.

13. Risk and ownership

For consumer customers, risk in the goods passes to you when the goods are delivered to you or to a person nominated by you.

For business customers, risk passes to you when the goods are delivered to the delivery address, collected by you, or handed to your nominated carrier.

Ownership of goods passes to you only when we have received payment in full for the goods and any related delivery or other charges.

Until ownership passes, you must not resell, alter, dispose of or use the goods in a way that prevents recovery if payment is not completed.

14. Checking goods on delivery

You should inspect goods as soon as reasonably possible after delivery.

If goods arrive damaged, incomplete or incorrect, you must notify us promptly.

Business customers must notify us of damaged, missing or incorrect goods within 48 hours of delivery where reasonably possible. Failure to do so may affect our ability to investigate with the courier or supplier.

Consumers should notify us as soon as possible, but this does not affect statutory rights.

You may be asked to provide photographs, packaging images, delivery labels or other evidence to help us resolve the issue.

15. Consumer cancellation rights

If you are a consumer purchasing online, you usually have the right to cancel your order within 14 days after the day you receive the goods, without giving a reason.

If your order is delivered in multiple deliveries, the cancellation period usually runs from the day after you receive the final item.

To cancel, you must tell us clearly within the cancellation period by email, contact form or another clear written statement.

After notifying us that you wish to cancel, you then have 14 days to return the goods. This reflects the current UK distance selling position for online consumer purchases.

16. Exceptions to consumer cancellation rights

The right to cancel does not apply to certain goods, including but not limited to:

  • goods made to your specification;
  • personalised or custom-made items;
  • sealed goods that are not suitable for return for health protection or hygiene reasons if unsealed after delivery;
  • perishable goods or goods likely to deteriorate rapidly;
  • sealed audio, video or software products once unsealed;
  • goods that have been inseparably mixed with other items after delivery;
  • digital content once download or access has begun, where you agreed to lose the cancellation right;
  • services fully performed with your agreement during the cancellation period.

For ProtectDepot UK, this may include certain made-to-order signage, branded products, customised safety items, bespoke kits, special-order goods, hygiene-sensitive PPE or sealed first aid/medical-related products where seals have been broken.

17. Condition of returned goods

Returned goods must be:

  • unused;
  • complete;
  • in their original packaging where reasonably possible;
  • with all accessories, instructions, labels, seals and documentation;
  • in a resaleable condition, unless faulty.

You may inspect goods in the same way you would be able to in a shop, but you must not use, install, damage, contaminate or alter them.

We may reduce your refund where goods have been handled beyond what is necessary to establish their nature, characteristics and functioning.

18. Return postage and carriage costs

Unless the goods are faulty, incorrect or otherwise not as described, you are responsible for the cost of returning goods to us.

Original standard delivery charges will be refunded where required by consumer law. Premium or enhanced delivery charges, such as express or timed delivery, may not be refunded beyond the cost of standard delivery.

Business customer returns, where accepted, may be subject to restocking fees, carriage charges, supplier charges or administration costs.

19. Refunds for consumer cancellations

Where you validly cancel as a consumer, we will refund the price paid for the goods and any standard delivery charge required by law.

We may withhold the refund until we have received the goods back or until you provide evidence that you have returned them.

Refunds will be made using the original payment method unless we agree otherwise.

Where consumer cancellation rights apply, we will process the refund within 14 days of receiving the returned goods or, if earlier, within 14 days of receiving evidence that you have sent the goods back.

20. Faulty, damaged or goods not as described

If goods are faulty, damaged, not as described or not of satisfactory quality, please contact us as soon as possible.

Consumers have statutory rights under the Consumer Rights Act 2015. Goods supplied to consumers must be of satisfactory quality, fit for purpose and as described.

Depending on the circumstances, you may be entitled to a repair, replacement, refund or price reduction.

For business customers, we may at our option repair, replace or refund faulty goods, subject to inspection and confirmation of the fault. We are not responsible for faults caused by misuse, incorrect installation, unsuitable storage, wear and tear, accidental damage, modification, neglect or failure to follow manufacturer instructions.

21. Manufacturer warranties

Some products may be supplied with a manufacturer warranty.

Manufacturer warranties are provided by the manufacturer, not by us, unless we expressly state otherwise.

A manufacturer warranty is in addition to, and does not replace, any statutory rights that apply.

You may need to register a product with the manufacturer to activate a warranty.

22. Product recalls and safety notices

If we become aware of a product recall, safety notice or manufacturer instruction affecting goods we have supplied, we may contact affected customers where we have sufficient information to do so.

You are responsible for following any product recall, safety notice, manufacturer update or usage instruction issued in relation to the goods.

23. Installation and use

Unless expressly agreed in writing, prices do not include installation, commissioning, inspection, servicing, maintenance or training.

You are responsible for ensuring that products are installed and used by competent persons where required.

Certain products may require professional installation, regular inspection, maintenance, testing or replacement. This may include fire safety products, PPE, emergency equipment, signage, first aid equipment, spill control products, access equipment or other safety-related items.

We are not liable for loss arising from incorrect installation, failure to maintain, failure to inspect, inappropriate use or failure to follow instructions.

24. Website content and advice

Website content is provided for general information only.

Nothing on the website should be treated as professional advice, legal advice, fire safety advice, health and safety advice, engineering advice or a substitute for a competent assessment of your specific circumstances.

Where Osprey Solent Group Ltd provides professional consultancy services separately, those services will be subject to separate terms of engagement.

25. Limitation of liability

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or breach of statutory rights that cannot be excluded.

Subject to the above, we are not liable for:

  • indirect or consequential loss;
  • loss of profit;
  • loss of sales or revenue;
  • loss of business opportunity;
  • loss of goodwill;
  • business interruption;
  • loss arising from incorrect product selection;
  • loss arising from misuse, poor installation or lack of maintenance;
  • losses caused by third-party suppliers, couriers or platforms outside our reasonable control.

For business customers, subject to the exclusions and limitations that cannot legally be excluded, our total liability arising from or in connection with an order is limited to the price paid for the relevant goods giving rise to the claim.

For consumers, nothing in these Terms limits any rights or remedies that cannot legally be limited or excluded.

26. Consumer rights

Nothing in these Terms affects your statutory rights as a consumer.

If you are a consumer, these Terms will be interpreted so that they do not restrict rights that cannot lawfully be restricted.

27. Business customer indemnity

If you are a business customer, you agree to indemnify Osprey Solent Group Ltd against losses, claims, costs, damages, liabilities and expenses arising from:

  • your misuse of products;
  • your failure to follow instructions;
  • your failure to ensure products are suitable for your intended use;
  • your resale, installation, modification or supply of products to others;
  • your breach of these Terms;
  • your breach of applicable laws, standards or regulatory requirements.

28. Force majeure

We are not liable for delay or failure to perform where caused by events outside our reasonable control.

This may include supplier failure, transport disruption, strikes, extreme weather, fire, flood, pandemic, cyber incident, war, terrorism, civil unrest, government action, utility failure or other events beyond our reasonable control.

Our website may contain links to third-party websites.

We are not responsible for the content, security, availability, accuracy or privacy practices of third-party websites.

You access third-party websites at your own risk.

30. Intellectual property

All website content, including text, images, branding, logos, designs, graphics, documents, product descriptions and layout, is owned by or licensed to Osprey Solent Group Ltd unless stated otherwise.

You may view and use the website for personal or internal business purchasing purposes only.

You must not copy, reproduce, distribute, modify, scrape, republish or commercially exploit website content without our prior written consent.

31. Reviews, comments and user content

If you submit reviews, comments, images, feedback or other content to us, you grant us a non-exclusive, royalty-free right to use that content for business, marketing, customer service and website purposes.

You must not submit content that is unlawful, defamatory, offensive, misleading, infringing, confidential or harmful.

We may remove or refuse to publish user content at our discretion.

We process personal information in accordance with our Privacy Policy.

33. Complaints

If you have a complaint, please contact us using the details in Section 1.

We will aim to resolve complaints fairly and promptly.

If you are a consumer and we are unable to resolve your complaint, you may wish to seek advice from Citizens Advice, Trading Standards or another appropriate dispute resolution body.

34. Changes to these Terms

We may update these Terms from time to time.

The Terms that apply to your order will be those in force at the time you placed the order, unless a change is required by law or regulation.

The latest version will be published on our website.

35. Severance

If any part of these Terms is found to be invalid, unlawful or unenforceable, the remaining parts will continue in full force and effect.

36. No waiver

If we do not enforce any part of these Terms immediately, this does not mean we have waived our right to enforce it later.

37. Entire agreement

If you are a business customer, these Terms, together with any order confirmation and any other written terms expressly agreed by us, form the entire agreement between you and us for the relevant order.

You acknowledge that you have not relied on any statement, representation, assurance or warranty that is not set out in these Terms or expressly agreed in writing by us.

Nothing in this clause excludes liability for fraud or fraudulent misrepresentation.

38. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may bring proceedings in the courts of England and Wales, or in the courts of the part of the UK where you live.

If you are a business customer, the courts of England and Wales shall have exclusive jurisdiction.
